Terms and Conditions of Sale and Delivery for RefLab – Service Laboratory

These General Terms and Conditions of Sale apply to all orders and deliveries made by RefLab, unless otherwise agreed in writing by RefLab.

 

1.       Use and validity

  • RefLab is a private Danish laboratory with extensive expertise in allergy and chronic spontaneous urticaria (CSU) diagnostics. We serve hospitals, allergy/immunology specialists, and private entities (hereafter referred to as the Customer) with our unique test, the basophil histamine release assay (BHRA) (also known as HR-Test and HR-Urticaria Test).
  • An order is considered placed when RefLab has received a requisition in correct and valid form together with a blood or serum sample from the Customer.
  • The Customer ships the sample together with the requisition to RefLab. If testing against patient-supplied material, the Customer must enclose the material. If testing is for one of the pharmaceuticals listed on the RefLab Stock – Testable drugs in stock, it will be supplied by RefLab and should not be enclosed with the sample.
  • Incomplete or incorrect requisitions may result in delayed processing, and RefLab will notify the Customer if corrections are required. Late shipment of samples or submission of incorrect sample materials may lead to extended processing times and, in some cases, require the Customer to submit a new sample.
  • RefLab sends all test results through a secure mail system to comply with GDPR legislation.
  • At RefLab, all tests and results are based on scientifically validated methods, and we continuously update and develop our knowledge and expertise.

 

2.       Shipping terms

  • All requisitions, as well as blood or serum samples, must be shipped at the Customer’s expense and responsibility, using an approved shipment method in accordance with ADR 2025 regulations.
  • All samples sent from abroad must be shipped under Delivered Duty Paid (DPP) terms, as the Customer is responsible for the samples during shipment. If DDP is not applied, a surcharge of €40 will be imposed on the Customer to cover increased administrative costs along with the customs administration fee.
  • RefLab cannot be held accountable for any loss or costs incurred during shipment.

 

3.       Price and payment

  • All prices stated at the time of requisition are exclusive of VAT, as all services in RefLab’s Service Laboratory (except CRO services) are exempt from VAT due to the character of the service.
  • All invoices will be sent to the Customer when the test result(s) have been sent from RefLab.
  • Administrative Fee: If the invoicing process requires additional administrative actions beyond the standard procedure, RefLab reserves the right to charge an administrative fee of €50 per adjustment.
  • Postal Invoice Fee: If the Customer requests to receive invoices by postal mail instead of electronically, a handling fee of €30 will be applied for each invoice issued by post.
  • Reminder Fees and Interest: If the Customer fails to pay an invoice for services on time for reasons not attributable to RefLab, RefLab is entitled to add a reminder fee of €15 per reminder. The outstanding amount will accrue interest at a rate of 8% above the current official discount rate of the Danish National Bank per month. If the Customer fails to pay an overdue invoice within 30 days of receiving a written demand for payment from RefLab and subsequently sends new requisitions, RefLab reserves the right to withhold the test results for these requisitions until any unpaid invoices are settled.
  • Prepayment: In the case of repeated late payments, RefLab reserves the right to request prepayment for future orders. The prepayment amount will correspond to the full price of the requested tests, and testing will only be initiated once the payment has been received.
  • Termination: If the Customer fails to settle an overdue invoice within 30 days after receiving a written demand for payment from RefLab, RefLab reserves the right to cancel all future sales and services to the Customer or require payment in advance.

 

4.       Responsibility

  • It is always the Customer’s responsibility that blood samples, serum, and materials for testing arrive in good condition and on time. If RefLab assesses that a new blood or serum sample is required, or the supplied material is insufficient, RefLab will notify the Customer, and it will be the Customer’s responsibility to send new samples or materials.
  • If RefLab is unable to deliver any test results due to circumstances beyond its control, the Customer will still be required to pay for all requested tests.
  • RefLab cannot be held liable for delays caused by force majeure events, including but not limited to natural disasters, strikes, or disruptions in transportation services.

 

5.       GDPR

  • RefLab processes all patient’s personal data in compliance with the General Data Protection Regulation (GDPR) and the Danish Data Protection Act. Personal information, such as the patient’s name, address, e-mail, and telephone number, etc., is only used in connection with the Customer’s order and in accordance with GDPR requirement.
  • If the Customer wishes to obtain information about the data being processed or to have the data deleted or corrected, the Customer can contact us at info@reflab.dk.

 

6.       Ethics
